Welcome to VidScribe.ai ("VidScribe," "we," "us," or "our"), a service operated by THS Enterprises LLC, doing business as VidScribe.
These Terms of Service ("Terms") govern your access to and use of the VidScribe.ai website, applications, software, artificial intelligence tools, APIs, features, subscriptions, and related services (collectively, the "Services").
By accessing, registering for, purchasing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or purchase a subscription.
By using VidScribe, you represent and warrant that:

• You have the legal capacity to enter into these Terms.
• The information you provide is accurate and complete.
• You are not prohibited by applicable law from using the Services.
• If you are using VidScribe on behalf of a company or other organization, you have authority to bind that organization to these Terms.

VidScribe provides AI-powered tools designed to help users transform video and other supported content into structured information.
Depending on your subscription and available features, VidScribe may provide services including:

• Video transcription
• Video summaries
• Structured notes
• Chapters and timestamps
• Key takeaways
• Topic extraction
• Question-and-answer generation
• Content organization
• Searchable knowledge extraction
• AI-generated analysis
• Content repurposing
• Educational or research assistance
• Export and sharing tools
• Other AI-powered productivity features

We may add, modify, suspend, or discontinue individual features from time to time.
We do not guarantee that every feature will always be available or that every uploaded file, video, URL, format, language, or content source will be supported.

Certain features require you to create an account.
You agree to:

• Provide accurate registration information.
• Maintain accurate account information.
• Protect your password and login credentials.
• Not share your account credentials with unauthorized users.
• Notify us promptly if you suspect unauthorized access to your account.

You are responsible for activity conducted through your account unless caused directly by a security failure attributable to VidScribe.
We may suspend or restrict accounts that appear to have been compromised or are being used in violation of these Terms.

"User Content" includes videos, audio, documents, text, links, transcripts, images, prompts, files, data, and other materials that you upload, submit, provide, link, or otherwise make available through VidScribe.
You retain ownership of your User Content.
By submitting User Content to VidScribe, you grant us a limited, non-exclusive, worldwide license to host, process, reproduce, transmit, convert, analyze, and otherwise use the User Content only as reasonably necessary to:

• Provide the Services.
• Process your requests.
• Generate requested AI outputs.
• Maintain platform functionality.
• Prevent abuse and security threats.
• Comply with applicable law.
• Improve the Services where permitted by our Privacy Policy and your applicable settings.

This license does not transfer ownership of your User Content to VidScribe.

You are solely responsible for ensuring that you have the legal right to upload, process, analyze, summarize, transcribe, or otherwise use any content submitted to VidScribe.
You represent and warrant that your User Content and use of the Services will not:

• Infringe copyrights, trademarks, privacy rights, publicity rights, or other intellectual property rights.
• Violate contractual confidentiality obligations.
• Contain unlawfully obtained information.
• Violate applicable privacy or data protection laws.
• Contain material that you do not have permission to process.
• Violate any law or regulation.

VidScribe does not grant you permission to copy, download, transcribe, summarize, or republish third-party content.
The availability of a technical feature does not mean that you have a legal right to use that feature with any particular content.

VidScribe may permit users to submit links or content from third-party platforms such as video hosting, social media, education, collaboration, or content-sharing platforms.
Your use of third-party content remains subject to:

• The third party's terms of service.
• Copyright laws.
• Privacy laws.
• Contractual restrictions.
• Applicable platform policies.

VidScribe is not affiliated with or endorsed by third-party platforms unless expressly stated.
We are not responsible for changes made by third-party platforms that affect the availability or operation of certain VidScribe features.

VidScribe uses artificial intelligence and automated systems to generate transcripts, summaries, answers, classifications, notes, recommendations, and other content ("AI Outputs").
AI Outputs may contain:

• Errors
• Omissions
• Inaccuracies
• Misinterpretations
• Outdated information
• Incorrect speaker identification
• Incorrect transcription
• Unsupported conclusions
• Incomplete information

You are responsible for reviewing and verifying AI Outputs before relying on, publishing, sharing, or using them.
VidScribe does not guarantee that AI Outputs are factually correct, complete, unique, or suitable for any particular purpose.

VidScribe is an information and productivity tool.
Content generated through VidScribe does not constitute:

• Legal advice
• Medical advice
• Financial advice
• Tax advice
• Investment advice
• Accounting advice
• Professional consulting advice

You should consult an appropriately qualified professional before making decisions that require professional expertise.

Except for User Content, all rights, title, and interest in VidScribe and the Services belong to THS Enterprises LLC or its licensors.
This includes, where applicable:

• Software
• Source code
• Object code
• User interface designs
• Logos
• Graphics
• Branding
• Databases
• Algorithms
• Platform architecture
• Documentation
• Website content
• Product names
• Service names

You may not copy, reproduce, modify, distribute, sell, license, reverse engineer, decompile, or create derivative works from the Services except as permitted by applicable law or with our written authorization.

Subject to applicable law and third-party rights, VidScribe does not claim ownership over AI Outputs generated specifically for you through your lawful use of the Services.
However, because artificial intelligence systems may produce similar or identical outputs for different users, we cannot guarantee that any AI Output will be unique or eligible for copyright, trademark, patent, or other intellectual property protection.
You are responsible for determining whether your intended use of AI Outputs violates third-party rights.

You may not use VidScribe to:

• Violate any law or regulation.
• Infringe intellectual property rights.
• Process illegally obtained materials.
• Upload malware, viruses, ransomware, or malicious code.
• Attempt unauthorized access to VidScribe systems.
• Circumvent usage limits or security mechanisms.
• Scrape the platform without authorization.
• Reverse engineer the Services.
• Interfere with the operation or security of VidScribe.
• Create fraudulent or deceptive content.
• Impersonate another person without authorization.
• Facilitate unlawful activities.
• Conduct abusive automated requests.
• Resell access to your account unless expressly permitted.
• Use the Services in a manner that could damage VidScribe, our infrastructure, or other users.

We may suspend or terminate access for violations of these requirements.

You may not knowingly use VidScribe to upload, process, generate, or distribute content that:

• Is illegal.
• Exploits or sexually abuses minors.
• Promotes terrorism or unlawful violent activity.
• Contains malware or malicious software.
• Facilitates fraud, identity theft, or unlawful financial activity.
• Violates another person's privacy or legal rights.
• Contains content that you are legally prohibited from processing.

We may remove content or restrict access where reasonably necessary to comply with law, protect users, or protect the integrity of our Services.

VidScribe may offer free plans, free trials, credits, promotional subscriptions, or other limited-access programs.
These offers may:

• Have usage restrictions.
• Expire after a specified period.
• Be available only once per user.
• Exclude certain features.
• Be modified or discontinued.

Unless otherwise stated, promotional credits have no cash value.
We reserve the right to prevent abuse of free trials or promotional programs.

Certain VidScribe features require a paid subscription.
Subscription pricing, included usage limits, billing frequency, and available features will be displayed before purchase.
By purchasing a subscription, you authorize us and our payment processor to charge your selected payment method for applicable fees and taxes.
Unless otherwise stated, subscriptions automatically renew at the end of each billing period until canceled.
You are responsible for keeping your billing information current.

If you purchase an automatically renewing subscription, your subscription will continue for successive billing periods unless you cancel before the next renewal date.
You may cancel through your account settings or another cancellation method made available by VidScribe.
Cancellation prevents future renewal charges but generally does not retroactively refund previously paid subscription fees, except where required by law or expressly provided in our refund policy.

We may change subscription prices from time to time.
Where legally required, we will provide advance notice of material pricing changes.
Updated pricing will generally apply beginning with your next applicable renewal period rather than retroactively to a billing period that has already been paid.

Except where otherwise stated during purchase or required by applicable law, subscription payments are generally non-refundable once charged.
If VidScribe offers a specific refund guarantee, trial guarantee, or refund period for a particular subscription, the terms displayed at the time of purchase will apply.
Nothing in these Terms limits any non-waivable consumer rights available under applicable law.

Subscriptions may include limits relating to:

• Video length
• Processing minutes
• Number of uploads
• AI requests
• Storage
• File size
• Exports
• API usage
• Credits
• Other computing resources

Usage limits may vary by subscription plan.
Unless otherwise stated, unused credits or allowances may expire at the end of the applicable billing period and may not carry over.
We may implement reasonable usage restrictions to prevent abuse and maintain system reliability.

Even where a subscription is described as "unlimited," usage may remain subject to reasonable fair-use limits designed to prevent automated abuse, account sharing, resale, infrastructure disruption, or excessive activity inconsistent with normal individual or business use.
We may temporarily limit excessive usage that negatively affects platform availability or performance.

VidScribe may rely on third-party providers for services such as:

• Artificial intelligence models
• Cloud hosting
• Authentication
• Payment processing
• Analytics
• Email delivery
• Storage
• Video processing
• Infrastructure
• Customer support

Your data may be processed by these service providers where necessary to provide the Services, subject to our Privacy Policy and applicable contractual safeguards.
We are not responsible for interruptions caused by third-party systems outside our reasonable control.

Our collection, use, processing, and disclosure of personal information are governed by our Privacy Policy.
By using VidScribe, you acknowledge that your information may be processed as described in the Privacy Policy.
Where applicable, you are responsible for obtaining any required consents before uploading personal data relating to other individuals.

You should not upload highly sensitive, confidential, classified, regulated, or proprietary information unless you are authorized to do so and are satisfied that the applicable VidScribe plan and security features are appropriate for your intended use.
You remain responsible for determining whether VidScribe is suitable for processing any particular type of confidential information.

VidScribe may store User Content and generated outputs for as long as reasonably necessary to provide the Services, maintain your account, satisfy legitimate business requirements, prevent fraud, resolve disputes, or comply with applicable law.
Available deletion controls may depend on your account or subscription.
Deleting an account may not immediately remove information from backups, security records, legal records, or data that we are required to retain.
Additional information may be provided in our Privacy Policy.

We aim to provide reliable access to VidScribe, but we do not guarantee uninterrupted or error-free operation.
The Services may occasionally be unavailable because of:

• Maintenance
• Software updates
• Infrastructure failures
• Third-party outages
• Cybersecurity incidents
• Internet disruptions
• Force majeure events
• Technical problems

We may modify, suspend, or discontinue features where reasonably necessary.

VidScribe may provide beta, preview, experimental, or early-access features.
These features may be:

• Incomplete.
• Less reliable.
• Modified without notice.
• Discontinued.
• Subject to additional restrictions.

You use beta or experimental features at your own risk.

We use reasonable technical and organizational measures designed to protect our systems and user information.
However, no online system, cloud service, or internet transmission is completely secure.
You are responsible for maintaining secure account credentials and appropriate backups of important content.
You agree not to attempt to bypass or test VidScribe security systems without express authorization.

We may suspend, restrict, or terminate your access to VidScribe if we reasonably believe that:

• You violated these Terms.
• Your activity poses a security threat.
• Your account is being used fraudulently.
• Your activity could cause legal liability.
• Your usage significantly disrupts the Services.
• Suspension is necessary to comply with law.

Where reasonable and legally permitted, we may provide notice before permanent termination.
You may stop using the Services at any time.

Upon termination:

• Your right to access the Services ends.
• Certain stored content may become inaccessible.
• Outstanding payment obligations remain due.
• Provisions intended to survive termination will remain effective.

These surviving provisions may include intellectual property, disclaimers, limitation of liability, dispute provisions, and payment obligations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDSCRIBE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
VIDSCRIBE DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• RELIABILITY
• AVAILABILITY

WE DO NOT WARRANT THAT:

• THE SERVICES WILL ALWAYS BE AVAILABLE.
• AI OUTPUTS WILL ALWAYS BE ACCURATE.
• TRANSCRIPTIONS WILL BE ERROR-FREE.
• GENERATED CONTENT WILL BE UNIQUE.
• THE SERVICES WILL MEET EVERY USER'S REQUIREMENTS.
• ALL SOFTWARE ERRORS WILL BE CORRECTED.

Some jurisdictions do not permit certain warranty exclusions, so some of these exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THS ENTERPRISES LLC, VIDSCRIBE, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES LOSS OF:
ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES.

• PROFITS
• REVENUE
• DATA
• BUSINESS OPPORTUNITIES
• GOODWILL
• CONTENT
• PRODUCTIVITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU PAID TO VIDSCRIBE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
US $100.

Nothing in these Terms excludes liability that cannot legally be excluded.

To the extent permitted by law, you agree to indemnify, defend, and hold harmless THS Enterprises LLC, VidScribe, and their affiliates, owners, employees, contractors, licensors, and service providers from claims, damages, losses, liabilities, and reasonable legal expenses arising from:

• Your User Content.
• Your misuse of the Services.
• Your violation of these Terms.
• Your infringement of third-party rights.
• Your violation of applicable law.

We respect intellectual property rights.
If you believe content available through VidScribe infringes your copyright, you may contact us with sufficient information to identify:

• The copyrighted work.
• The allegedly infringing material.
• Your contact information.
• Your good-faith belief that the use is unauthorized.
• A statement that the information provided is accurate.

We may remove or restrict access to allegedly infringing content when appropriate.

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, except where mandatory consumer laws require otherwise.

Before initiating formal legal proceedings, you agree to contact us and attempt in good faith to resolve the dispute informally.
If a dispute cannot be resolved informally, the parties agree that disputes may be resolved through applicable courts or another legally permitted dispute-resolution process.
Unless prohibited by applicable law, legal proceedings relating to these Terms will be brought in the appropriate state or federal courts located in California.
Consumers may retain additional rights under the laws of their jurisdiction.

VidScribe is strictly NOT available to users, organizations, or IP addresses located within the European Union (EU) or European Economic Area (EEA). Accessing or using VidScribe from EU member states is prohibited.

For non-EU international users, you are responsible for ensuring that your access and use of the Services complies with all applicable local laws in your jurisdiction.

You may not use VidScribe in violation of applicable U.S. export controls, economic sanctions, or trade restrictions.
You represent that you are not prohibited from using the Services under applicable sanctions or export-control laws.

We may update these Terms periodically to reflect changes in:

• Our Services
• Applicable law
• Business practices
• Security requirements
• Subscription offerings
• Technology

When changes are material, we may provide notice through the website, your account, email, or another reasonable method.
The revised Terms will display a new "Last Updated" date.
Your continued use of VidScribe after updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by law.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions will continue in effect.

You may not assign or transfer your rights under these Terms without our written permission.
We may assign these Terms as part of a merger, acquisition, corporate restructuring, sale of assets, or similar transaction.

These Terms, together with our Privacy Policy and any additional terms presented to you for specific services or subscription plans, constitute the entire agreement between you and VidScribe concerning the Services.
